Proforma = serious quote, not a taxable invoice

  • A proforma invoice is essentially a formal, itemised quotation — it shows what you plan to supply and at what price and tax rate, but it does not create a GST liability.
  • Buyers use it to get internal approvals, PO creation, or bank sanctions; you use it to lock clarity before starting work or shipping goods.
  • It should never be used as proof of supply, for ITC, or as your own evidence of revenue in GST returns.
  • Think of it as the last conversation before the real invoice, not a substitute for it.

What a good proforma invoice includes in the Indian context

  • Clear label 'Proforma Invoice' so nobody mistakes it for a tax invoice.
  • Item descriptions, tentative quantities, prices, applicable GST rate, and estimated totals — so finance teams know the order of magnitude.
  • Validity period (for example, 7 or 30 days) to protect you from price and tax changes.
  • A simple line: 'Final tax invoice will be issued on supply and may vary based on actual quantities and prevailing tax rules.'

When and how to convert proforma into a real invoice

  • The moment the buyer confirms and you are ready to supply, generate an actual GST tax invoice with a proper invoice number — do not keep editing the proforma.
  • Link the tax invoice to the approved proforma or PO in your system so both you and the buyer can trace back what was agreed.
  • If scope or quantity changes after proforma approval, reflect those only in the tax invoice (or subsequent invoices), not by quietly editing the old proforma.
